Deposit Agreement

This agreement governs the refundable deposit you place on SeatLock. It is a supplement to the Terms of Service. Where these terms conflict with the Terms of Service, these terms govern for deposit-related matters.

1. Nature of the Deposit

The amount you pay at time of deposit (the “Deposit”) is a conditional, refundable pre-commitment for the possibility of a live event by the designated Artist in the designated Market. It is not a ticket. It does not guarantee a ticket. It creates a priority right to purchase a ticket at a pre-agreed price if and only if the Qualifying Event is confirmed within the Commitment Window.

2. How Your Deposit Is Held

Your Deposit is charged by our payments partner (currently Stripe, Inc.) and held either in a segregated account established on behalf of the Artist’s campaign, or in Stripe’s platform balance where it is structurally separate from SeatLock’s corporate operating accounts. In either case:

  • SeatLock does not hold your Deposit in its corporate bank account.
  • SeatLock does not have operational authority to transfer your Deposit to its own accounts except as a Platform Fee payable only upon successful Release (defined in Section 3).
  • SeatLock does not earn interest on, lend, invest, or pledge your Deposit.

3. Release Conditions

Your Deposit is Released (converted into a ticket credit for the confirmed event, net of the Platform Fee) only upon the occurrence of all of the following:

  1. The Artist confirms a Qualifying Event in the designated Market within the Commitment Window;
  2. The event is publicly announced; and
  3. A ticket at the pre-agreed price is made available to you.

If any of (a), (b), or (c) does not occur, the Deposit is not Released and is instead Refunded under Section 4.

4. Refund Mechanics

A Refund is triggered automatically and without further action by you in any of the following cases:

  1. The Commitment Window ends without a confirmed Qualifying Event in the designated Market;
  2. A Qualifying Event is confirmed and subsequently cancelled prior to the event occurring; or
  3. You choose to withdraw your Deposit prior to the Cutoff Date (defined per-campaign, typically 30 days before the Commitment Window closes).

Refunds are processed to the original payment method and generally appear within 5–10 business days. No fee is deducted from your Refund.

Card processing fees charged by Stripe (typically 2.9% + $0.30) are non-refundable by the card networks and cannot be returned to you by SeatLock. All other amounts — including the SeatLock Platform Fee — are returned in full on a Refund.

5. Platform Fee

SeatLock retains a Platform Fee upon Release, and only upon Release. The applicable fee percentage is displayed at checkout for each campaign and varies by campaign type. For standard campaigns the fee is 10% of the Deposit amount.

If your Deposit is Refunded, no Platform Fee is retained and your Deposit (less any non-refundable card processing fees charged by Stripe) is returned to you.

6. No Float, No Interest

SeatLock does not earn, accrue, or retain any interest on your Deposit during the period it is held. Any yield generated by the holding account (if any) accrues to the account holder, not to SeatLock. SeatLock’s business model does not depend on float income, which means SeatLock has no financial incentive to delay refunds.

7. Insolvency

Your Deposit is not an asset of SeatLock and is not available to satisfy SeatLock’s creditors. In the event of SeatLock’s insolvency, your Deposit remains held by our payments partner and is subject to the refund procedures established with our payments partner. SeatLock’s creditors have no claim to funds held in campaign accounts on behalf of fans or artists.

8. Chargeback Rights Preserved

Nothing in this agreement waives or limits your rights under your card network’s rules, including your right to dispute a charge with your card issuer. However, initiating a chargeback before a Refund has been processed may interfere with the automatic refund flow. If you believe a refund has not been issued when it should have, please contact SeatLock support before initiating a dispute.
